Terms of Service

1. Acceptance of these Terms

These Terms govern your use of LabWorker at labworker.ai (also reachable at rezend.ai), and the other websites, apps, APIs and clients provided by Rezend AI, LLC ("Rezend AI", "we", "our", "us") (together, the "Services"). By using the Services you ("you", "your") agree to:

• these Terms of Service ("Terms");
• our Privacy Policy; and
• the terms of any sign-in provider you use, such as the Google Terms of Service.

If you do not agree, do not use the Services.

2. Eligibility and accounts

You must be at least 18 years old, and if you use the Services for an organisation, you must have authority to bind it. You create an account by signing in with a supported identity provider, such as Google. You are responsible for activity under your account.

3. Google sign-in and Google data

Signing in with Google gives us your name, email address and profile picture, which we use only to create your account and sign you in. Some features can send email for you; if you enable them, we ask separately for permission to send email from your Gmail account and use it only to send messages you initiate. We cannot read your email. You can revoke this permission at any time in your Google Account.

Our use of information received from Google APIs follows the Google API Services User Data Policy, including the Limited Use requirements, as described in our Privacy Policy.

4. Using the Services

Subject to these Terms and payment of any applicable fees, Rezend AI grants you a non-exclusive, non-transferable, revocable licence to use the Services. We keep all rights in the Services themselves, including LabWorker and its underlying software.

5. Your content and your apps

"Your Content" means the prompts, files and messages you provide, and the apps, revisions and outputs you create with the Services. As between you and Rezend AI, you own Your Content. You grant us a limited licence to host, process, run and display Your Content only as needed to provide the Services, including sending it to the AI model you choose and showing shared apps to the people you share them with.

You are responsible for Your Content and for the apps you build and share, including making sure you have the rights to what you upload and that your apps follow the law and these Terms.

6. AI models and AI output

The Services let you choose models from providers such as OpenAI and Anthropic, and open-source models. Some models are reached through OpenRouter, a service that passes your request to the model’s provider. Your use of a model may also be subject to that provider's terms or licence. AI output can be inaccurate, incomplete or unexpected; review it before relying on it, especially for important decisions.

7. Hosting and sharing

Apps you build can be hosted by the Services and shared with specific people or publicly. Anyone you share an app with can use it as you have allowed. We may disable or remove a shared app that violates these Terms or puts users or the Services at risk.

8. Acceptable use

You agree not to use the Services, or apps built with them, to:

• break any law or infringe anyone's rights;
• create or distribute malware, phishing, spam, or deceptive or harmful content;
• collect other people's personal data without permission;
• reverse-engineer the Services, or attempt to extract their source code or model parameters;
• interfere with or disrupt the Services, other users, or any sign-in provider's authentication flow.

9. Third-party services

The Services work with third-party services, such as sign-in providers and AI model providers. We do not control them and are not responsible for them; their use is subject to their own terms.

10. Fees and payment

Plans. LabWorker has a free plan and paid plans billed monthly. Each plan's price, what it includes, and any taxes are shown on the pricing page and before you pay. Payments are processed by Stripe; we do not see or store your full card number. During LabWorker’s early access, payments are collected by John Rezendes, the founder of Rezend AI, LLC, on its behalf, and that name may appear on your receipts and statements. Payments will move to Rezend AI, LLC directly; that move does not change your plan, its price or these Terms.

Where paid plans are offered. During LabWorker’s early access (beta), paid plans and AI credits are offered only to customers in the United States. The free plan is open to everyone eligible under section 2.

Renewal and changes. A paid plan renews each month until you cancel. Moving up to a higher plan takes effect at once, and you are charged the difference for the rest of the current month. Moving down, or cancelling, takes effect at the end of the month you have paid for; until then you keep what you paid for. You can cancel at any time from Plan & billing. If you move to a plan, or return to the free plan, with fewer active apps than you have, nothing is deleted: you choose which apps stay active and the rest are archived. Archived apps keep running and stay shared and published, but cannot be changed until they are made active again, and building is paused until you have chosen.

Extra apps. Some paid plans let you add active apps for a monthly fee per app. An app you add is available at once, and you are charged for the rest of the current month; an app you remove stays until the end of the month you have paid for and is then no longer billed.

Failed payments. If a payment fails, our payment processor tries again over the following days. Your plan stays in place while it does, but the AI credits included with the new month are held until the payment succeeds. If the payment cannot be collected, your subscription ends and your account moves to the free plan; nothing is deleted.

Refunds. Payments are not refunded for a partial month, for unused AI credits, or for features you did not use, except where the law requires it.

AI credits. AI credits pay for AI work that runs on LabWorker’s own model accounts. Each request uses credits according to what that request cost. Credits included with a paid plan are for that month and do not carry over; when you move up during a month, the included credits rise in proportion to the part of the month left. A first-month bonus, where offered, is given once per account, with its first paid plan, and ends with that first month. Credits you buy are prepaid and expire 12 months after purchase. The credits the free plan starts with are given once, do not expire, and can be used for builds and images on the model LabWorker chooses. If a payment for AI credits is refunded or disputed, the credits it bought are removed in proportion. AI credits have no cash value and cannot be transferred, sold or exchanged for money. When your credits run out, work paid with them stops until you add credits, your plan renews, or you choose another way to pay.

Your own AI accounts. You may instead connect your own Claude, ChatGPT or OpenRouter account. Work on that account is billed by its provider under its own terms, not by us, and uses no AI credits. You are responsible for the charges and limits on your own account; you can disconnect it at any time.

Price changes. We may change plan prices or what a plan includes. We will tell you before a change affects your next renewal, and you can cancel before it does.

11. Availability and support

We work to keep the Services available but do not guarantee uninterrupted service. We will try to give notice of planned maintenance. For support, email [email protected].

12. Termination

You may stop using the Services and close your account at any time. If you delete your account, any paid plan you have is cancelled when the account is deleted, and nothing more is charged after that. We may suspend or end your access if you materially breach these Terms or create security, legal or other risk for us or other users. If we end your access because of a breach, amounts you have paid and unused AI credits are not refunded, except where the law requires it; if we end it for any other reason, we will refund the unused part of the month you have paid for and of AI credits you bought. After termination we will delete Your Content as described in our Privacy Policy.

13. Disclaimers

The Services are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Services will be uninterrupted or error-free, or that AI output will be accurate.

14. Limitation of liability

To the maximum extent permitted by law, Rezend AI's total liability arising out of or relating to the Services will not exceed the greater of (a) the amounts you paid us in the 12 months before the claim or (b) USD 100. We are not liable for lost profits or for indirect, special, incidental or consequential damages.

15. Indemnification

You will defend and indemnify Rezend AI against any third-party claim arising from Your Content, the apps you build or share, your misuse of the Services, or your violation of these Terms.

16. Governing law and disputes

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law rules. Any dispute will be resolved by binding arbitration under the JAMS Streamlined Arbitration Rules. Either party may seek injunctive relief in any competent court.

17. Changes to these Terms

We may update these Terms. We will post material changes at least 14 days before they take effect. Continuing to use the Services after that date means you accept the updated Terms.

18. Export compliance

You may not use the Services in violation of US export control laws or sanctions programmes.

19. Entire agreement and severability

These Terms are the entire agreement between you and Rezend AI about the Services and replace any prior agreements on that subject. If any provision is unenforceable, the rest remains in effect. When payments move from John Rezendes to Rezend AI, LLC as described in section 10, your subscription and these Terms move with them unchanged. We may also transfer these Terms, including your subscription, to a successor that takes over the Services; we will tell you if that happens, and the Terms continue to apply.
